License Agreement

DJ Xclusive Scandinavia, ("DJX") hereby grants to Licensee indicated above a non-exclusive, non-transferable and restricted license to utilize the DJX compact disc ("CD") music service(s) Dance xclusive/Urban xclusive for Licensee's broadcast purposes under the following terms and conditions:

1. MUSIC SERVICE. Starting immediately on receipt of initial payment and continuing each month during the term hereof, DJX will ship at Licensee's expense CD(s) containing new single record releases ("the Service"). Licensee may change choice of active Services on subscription at any time by notifying DJX by phone, fax or e-mail.

2. LICENSE FEE & PAYMENT DUE DATES. Licensee will pay license fees, plus shipping charges. All invoices are due and payable upon receipt, in advance of service period on invoice. Licensee paying by credit/debit card will be billed on the same date, when the authorization form was first filled, each month.

3. RIGHTS. Licensee agrees to pay any applicable duty, tax, publisher's license fees (such as KODA, TONO, STIM, TEOSTO ) and fees assessed by agents of copyright owners (such as IFPI). Licensee shall maintain any applicable music performance licenses. DJX does not provide performance rights of any kind and will not be held liable for subscribers' failure to obtain the proper licenses together with payments of all applicable fees as stated in such licenses.

4. TERM. Service may be terminated by either party at any time prior notification by phone, fax or e-mail. Possession and use of the Service is for 99 years.

5. LIMITED WARRANTY. Licensee shall inspect all CDs upon receipt and shall notify DJX within fourteen (14) days of any damage. DJX agrees to replace such damaged CDs promptly at its own expense.

6. FOR PROFESSIONAL DJ AND BROADCAST USE ONLY, NON TRANSFERABLE. Licensee agrees that the Service is provided solely for licensee's legitimate licensed public performance (pubs/bars/clubs/etc.) and broadcast use. In consideration of copyright restrictions Licensee agrees that it shall not supply, lease, sell, loan, give or otherwise transfer any Service CD to any other party. By this agreement, Licensee hires DJX to act as Licensee's agent to duplicate or otherwise supply reproductions of popular recorded music ordered by Licensee in the CD format specified.

7. MISCELLANEOUS. Licensee understands and agrees that it is responsible for immediately reporting any change in mailing address, e-mail, phone number or credit card, i.e., issuing company, expiration date, cardholder name, address, and/or general data in writing to email or fax. DJX reserves the right to increase shipping charges as needed upon written notification to Licensee.
